MLB Terms of Use

These are the Terms of Use of KnowledgePoint Limited, a company registered in England with Company Number 3413411, whose registered address is 50-56 Portman Road, Reading, Berkshire, RG30 1EA, United Kingdom (which, with its affiliates, is referred to as "KnowledgePoint" or "we").

Please read these Terms of Use and the KnowledgePoint Privacy Policy (collectively, the "Agreement"), and the Terms of Sale (provided by your Reseller at the point of sale) carefully before purchasing or using any aspect of the MyLiveBook Service. By using the MyLiveBook Service, purchasing or using any MyLiveBook Content, using the Reading Applications or using any aspect of the MyLiveBook Service you agree to be bound by the terms of the Agreement. If you do not accept the terms of the Agreement, then you may not use MyLiveBook Service, any MyLiveBook Content, or any MyLiveBook Reading Application.

For the purposes of the Agreement:

"Access Code"means the alpha-numeric string used to gain access to MyLiveBook Content through the MyLiveBook Reading Application for a defined Subscription Term.

"Agreement" means these Terms of Use and the KnowledgePoint Privacy Policy

"Content Provider" means the party who is the content owner and/or the party with the necessary rights to offer Content through the MyLiveBook platform.

"Distributor" means an entity appointed by the Content Provider to supply and administer Access Codes to appointed Resellers on the Content Provider’s behalf.

"MyLiveBook Account" means your registered account which is required to access the MyLiveBook Service.

"MyLifeBook Content" means digitised content consumed through the MyLiveBook Reading Applications made available to you on a subscription basis for a defined amount of time, such as books, videos, certificates and other content.

"MyLifeBook Service" means Reading Applications, support services and any related documentation that we make available to you.

"Reading Application" means the online website service www.mylivebook.com which is available to you through compatible browsers and the MyLiveBook software application available through authorised application stores on compatible Android and Apple iOS devices. These Reading Applications permit users to access and consume MyLiveBook Content on Supported Devices.

"Seller or Reseller" means the entity who sold and supplied you Access Codes. Sellers and Resellers are appointed by the Content provider to sell Access Codes on their behalf.

"SRP" means Suggested Reseller Price.

"Subscription Term" describes the period for which you will have access to MyLiveBook Content through the MyLiveBook Service.

"Supported Device" means a mobile, tablet, computer or another supported electronic device which meets minimum requirements to access the Reading Application.

"Terms of Sale" means terms provided at the point of sale when obtaining Access Codes through Resellers.

Data Protection and Privacy

KnowledgePoint's privacy policy explains how we treat your personal data and protect your privacy when you use the MyLiveBook Service. By using the MyLiveBook Service, you agree that KnowledgePoint can use such data in accordance with our privacy policy. You can view our privacy policy at https://mylivebook.com/privacy

LiveBook's Role

KnowledgePoint develops, hosts and supports the MyLiveBook Service. MyLiveBook Content is provided by Content providers that either/or (1) sell Access Codes to their MyLiveBook Content directly to you or (2) appoint and administers Distributors and resellers on their behalf to sell Access Codes to you.

Access Codes

You can purchase Access Codes through the Content Provider or a Reseller that is appointed by the Content Provider.

KnowledgePoint is not responsible for lost or stolen Access Codes or unauthorised use.

A MyLiveBook account will be required to redeem Access Codes. During the period of the Access Code subscription, you may terminate your MyLiveBook account at any time. If you choose to terminate your MyLiveBook account during the Subscription period, you accept that you forfeit any unused portion of the subscription period for any redeemed Access Codes.

MyLiveBook Account

We reserve the right to accept or refuse a MyLiveBook account at our discretion. You may not transfer or assign your membership, or any Access Codes redeemed under that account. We may take reasonable actions necessary to prevent fraud, including placing account restrictions where fraud is suspected.

We reserve the right to suspend or cancel your MyLiveBook account, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of the Agreement or if any details you provide to register as a user prove to be false. We may also suspend your MyLiveBook account or terminate the Agreement if you are using the Services in a manner that is likely to be detrimental to us.

We may terminate, disable, lock, block or suspend your access to the Site or any Product if you fail to comply, or if we suspect on reasonable grounds that you have failed to comply, with any of these Terms of Use. In the event of such termination, you must cease all use of the Site and/or Product, and MyLiveBook may immediately revoke your access to the Site and/or Product.

All provisions which by their nature survive termination will survive the termination of these Terms of Use.

Only the registered named user may use your MyLiveBook account and access its redeemed MyLiveBook Content. Sharing your MyLiveBook account with any other persons is prohibited. Each account must be associated and registered to a named user and must not be generic in nature. For instance, creating an account under First Name: London, Last Name: Trainers would indicate that the account is registered under a generic role or group. This may also indicate that the account is shared between many users. This is not permitted, and we may suspend your account in these circumstances.

We do not send emails asking for your username or password, and to keep your account secure, you should keep your username and password confidential. We are not liable for any loss that you may incur if a third party uses your password or account. You agree to notify us immediately and terminate any unauthorised access to your MyLiveBook account.

You must be of the age of consent for information services, or older, in your country of residence to sign up for a MyLiveBook account. The age of consent varies from country to country. Thus KnowledgePoint has technical controls in place to prevent Minors under the age of consent from signing up based on their country of residence. MyLiveBook account holders under the age of 18 will be restricted to a Minor account. Minor accounts are only able to redeem titles that have been deemed appropriate for the age group by the Content Provider. At the point of sale, Access Codes will indicate if Minors can redeem them.

You may cancel your MyLiveBook account by visiting Account settings. If you cancel your membership, you will not receive a refund of any Access Codes whether redeemed or unredeemed. When your MyLiveBook account is cancelled, you forfeit and terminate rights to MyLiveBook Content redeemed under that MyLiveBook account. You will be unable to regain access to redeemed MyLiveBook Content in the future once your account is cancelled.

Reading Application

The Reading Application includes the online website service www.mylivebook.com which is available to you through compatible browsers and the MyLiveBook software application available through authorised application stores on compatible Android and Apple iOS devices.

You can only be logged in to www.mylivebook.com through a single session from one location at a time. If you attempt to login to an additional session we will ask you if you would like to be logged out automatically of your other active session before continuing. Additionally, you may only be logged into the MyLiveBook software application on a maximum two supported Android and Apple iOS devices. If you wish to change devices, you must log out of the MyLiveBook Reading Application on your old device before logging in on your new device. If you lose your compatible Android or Apple iOS device or unable to log out of your MyLiveBook application for any reason, then you can remotely logout your device in account settings. Please note that you cannot remotely log out a device any more than three times in any 12-month period.

You may not attempt to bypass, modify, defeat, or otherwise circumvent any digital rights management system or other content protection or features integrated into the Reading Application or as part of the MyLiveBook Service. You may only use the Reading Application on Supported Devices.

You are responsible for ensuring that your device or browser meets any minimum system requirements. These requirements may change from time to time as updates become available to the Reading Applications and associated device platforms. The Reading Applications is developed by, or for, the MyLiveBook Service and is designed to enable access to MyLiveBook Content through compatible devices. The Reading Applications may vary by device and medium, and functionalities and features may also differ between devices. You acknowledge that the use of the MyLiveBook Service may require third party software that is subject to third-party licenses. You agree that you may automatically receive updated versions of the Reading Applications and related third-party software.

We will do our utmost to ensure that availability of the Reading Application will be uninterrupted and that the platform is error-free. However, due to the nature of the internet, frequent updates to platforms and browsers, this cannot be guaranteed. Also, access to the Reading Application may be suspended or restricted in extenuating circumstances to allow for repairs, maintenance, or the introduction of new facilities or services. We will attempt to limit the frequency and duration of any such suspension or restriction.

You agree that you will not use IP proxying or other methods to disguise the place of your residence, whether to circumvent geographical restrictions on MyLiveBook Content, to purchase at pricing not applicable to your geography, or for any other purpose. If you do this, KnowledgePoint may terminate your access to your MyLiveBook Account.

You are responsible for any internet or other connection charges you may incur in connection with your download, access, and use of the MyLiveBook Service and the Reading Applications.

MyLiveBook Content

Unless specifically indicated otherwise, you may not sell, rent, lease, distribute, broadcast, sublicense, or otherwise assign any rights to MyLiveBook Content or any portion of it to any third party, and you may not remove or modify any proprietary notices, labels or trademarks.

KnowledgePoint does not check the quality and accuracy of MyLiveBook Content provided by the Content Providers and thus does not offer any guarantees or warranties with regards to MyLiveBook Content. Content Providers may include links to external sites or applications owned, operated or produced by third-party organisations independent of us, which may include links to third-party offers and promotions. We have not verified and are not responsible for the content of these sites or for anything provided by them and do not guarantee that they will be continuously available. The fact that MyLiveBook Content may include links to such external sites does not imply any endorsement, sponsorship or recommendation of, or association with, their operators or promoters or any materials on them. If you have queries or concerns about MyLiveBook Content, please contact the Content Provider or appointed Reseller.

KnowledgePoint's Liability

While KnowledgePoint as a platform provider facilitates access to MyLiveBook Content, KnowledgePoint does not sell the MyLiveBook Content. Your contract for the MyLiveBook Content is between you and the Seller from whom you bought it. KnowledgePoint is not a party to that contract and does not assume any responsibility for the quality or accuracy of MyLiveBook Content. The Seller from whom you bought the MyLiveBook Content is responsible for the sale of the Access Codes and for dealing with any claims or any other issues you may have arising out of or in connection with your contract with the Seller.

We do not exclude or limit in any way our liability to you under the Agreement where it would be unlawful to do so. Our platform facilitates access to MyLiveBook Content but in providing the platform we do not accept responsibility for business losses and if you use the platform for any commercial or business purposes we will have no liability to you for:

  1. loss of profits, sales, business, or revenue;
  2. business interruption;
  3. wasted expenditure
  4. loss of anticipated savings;
  5. loss of business opportunity, goodwill or reputation; or
  6. any indirect or consequential loss or damage.

We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your legal right to have services provided within a reasonable time or to receive a refund if services ordered cannot be supplied within a reasonable time owing to a cause beyond our reasonable control.

The laws of some countries do not allow some or all of the limitations described above. If these laws apply to you, some or all of the above limitations may not apply to you and you might have additional rights.

No Guarantees

To the maximum extent permitted by applicable law, neither KnowledgePoint, the Content Providers or appointed Resellers guarantee continuous, error-free, virus-free or secure operation and access to the MyLiveBook Service, the content, your account and/or your subscriptions(s) or any information available in connection therewith. You are responsible for protecting your hardware, software, data and other material from viruses, malware, and other internet security risks.

Amendments to the Agreement

KnowledgePoint may need to make changes to its Terms of Use from time to time, in whichcase it will send you email notification of the proposed changes at least 30 (thirty) days before they come into force. If you do not agree to the proposed changes, you will be able to continue using your MyLiveBook account on the terms of the Agreement but you will not be able to renew your subscription or add additional content unless you agree to the Terms of Use then in force.

General

You may not transfer or assign any or all of your rights or obligations under these Terms of Use.

All notices given by you to us must be given in writing to the email address set out at the end of these Terms of Use (provided that your email is supported by a valid server delivery receipt).

If we fail to enforce any of our rights, that does not result in a waiver of that right.

If any provision of these Terms of Use is found to be unenforceable, all other provisions shall remain unaffected.

These Terms of Use shall be governed by the laws of England and Wales and you agree that the courts of England & Wales (and courts of appeal from them) have exclusive jurisdiction to resolve any disputes arising under or in connection with these Terms of Use. Nothing shall prevent us from bringing proceedings to protect our intellectual property rights before any court of competent jurisdiction.
